PART I – GENERAL PROVISIONS

1. Introduction

Welcome to Eaziday, a digital planning, commerce, and services platform owned and operated by APPIRICH S.R.L.

These Terms and Conditions ("Terms") govern your access to and use of the Eaziday website, mobile applications, products, services, recurring plans, business solutions, community initiatives, and any other features, content, or functionality made available through the Eaziday platform.

By accessing, browsing, registering an account, placing an order, creating a recurring plan, or otherwise using the Eaziday platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all policies referenced herein.

If you do not agree with these Terms, you must immediately discontinue use of the Eaziday platform.

These Terms apply to all users of the Eaziday platform, including but not limited to:

• Individual customers (B2C);

• Business customers (B2B);

• Suppliers;

• Service providers;

• Commercial partners;

• Visitors;

• Registered users.

2. Definitions

For the purposes of these Terms and Conditions, the following definitions shall apply:

"APPIRICH S.R.L." or "Company" means the Romanian company operating the Eaziday platform.

"Eaziday" means the digital platform owned and operated by APPIRICH S.R.L., including its website, mobile applications, software, products, services and related technologies.

"Platform" means the Eaziday website, mobile applications and all digital services provided under the Eaziday brand.

"Website" means www.eaziday.com and any associated domains operated by APPIRICH S.R.L.

"User" means any individual or legal entity accessing or using the Platform.

"Customer" means any User who purchases products or services through the Platform.

"Consumer" means a natural person purchasing products or services for personal, family or household purposes.

"Business Customer" means any company, sole trader, organisation or authorised business purchasing products or services for commercial purposes.

"Account" means a registered profile created to access the Platform and its services.

"Order" means a request submitted through the Platform to purchase products or services.

"Plan" means a recurring purchasing arrangement created by a customer that enables automatic deliveries based on selected products, quantities and delivery frequency.

"Products" means all physical goods offered for sale through the Platform, including but not limited to baby care products, personal care, household products, professional supplies and any other categories available from time to time.

"Services" means all services currently or subsequently offered through Eaziday, including but not limited to cleaning services, automotive services, business procurement, maintenance services and any additional services introduced in the future.

"Supplier" means any manufacturer, importer, distributor or wholesaler supplying products available on the Platform.

"Service Provider" means any independent contractor, company or professional providing services through or on behalf of Eaziday.

"Partner" means any organisation or individual collaborating with Eaziday, including charitable organisations, affiliates, marketing partners and commercial partners.

"Community Programme" means any initiative organised by Eaziday to support charitable organisations, social causes or community projects through donations or other forms of contribution.

"Donation" means a voluntary financial contribution made by APPIRICH S.R.L. to an approved charitable organisation in accordance with the applicable Community Programme.

3. Acceptance of the Terms

By using the Eaziday Platform, you acknowledge and agree that:

• You have read, understood and accepted these Terms and Conditions.

• You agree to comply with all applicable Romanian and European Union laws and regulations.

• You accept all policies referenced within these Terms.

• You have the legal capacity to enter into a binding agreement.

• If you are acting on behalf of a company or organisation, you confirm that you are authorised to bind that entity to these Terms.

• You are responsible for ensuring that all information provided to Eaziday is accurate, complete and up to date.

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

4. About Eaziday

Eaziday is an intelligent planning, commerce and services platform designed to simplify the management of everyday essentials for households and businesses.

Our mission is to help customers save time, reduce unnecessary spending and improve everyday organisation through smart planning, automation and convenient delivery.

The Platform enables users to:

• Purchase everyday essential products.

• Create personalised recurring purchasing plans.

• Schedule automatic deliveries.

• Manage household and business supplies efficiently.

• Discover quality products at competitive prices.

• Support charitable organisations through eligible purchases.

• Access additional services and solutions made available through the Platform.

Eaziday continuously develops new products, services and technologies to improve the customer experience.

Accordingly, products, services, features and functionality may be introduced, modified, suspended or discontinued at any time without affecting existing legal obligations, unless otherwise required by applicable law.

Nothing contained in these Terms shall be interpreted as guaranteeing the permanent availability of any specific product, service, feature or functionality.

5. Governing Policies

These Terms and Conditions should be read together with the following policies, which form an integral part of your agreement with Eaziday:

• Privacy Policy

• Cookie Policy

• Consumer Protection Policy

• Dispute Resolution Policy

• Any additional policy, guideline, notice or legal document published by Eaziday from time to time.

Where a specific policy governs a particular subject matter, that policy shall prevail over these Terms only to the extent necessary to address that subject.

By using the Eaziday Platform, you acknowledge that you have read and accepted all applicable policies published by Eaziday.

6. Eligibility

The Eaziday Platform is available to:

• Individual consumers (B2C);

• Business customers (B2B);

• Sole traders and self-employed professionals;

• Public institutions and organisations;

• Suppliers;

• Service providers;

• Approved commercial partners.

By using the Platform, you represent and warrant that:

• You are at least 18 years of age or otherwise have the legal capacity to enter into binding agreements under applicable law.

• All information you provide is accurate, complete and up to date.

• You will use the Platform only for lawful purposes and in accordance with these Terms.

If you are acting on behalf of a business or organisation, you confirm that you are authorised to act on its behalf and to bind it to these Terms.

7. Individual Customers (B2C)

Individual customers may use Eaziday to:

• purchase products and services for personal, family or household use;

• create recurring purchasing plans;

• schedule automatic deliveries;

• participate in promotional campaigns;

• support eligible charitable organisations through the Community Programme;

• access additional services available through the Platform.

Consumers benefit from the rights granted under applicable Romanian and European consumer protection legislation.

8. Business Customers (B2B)

Business customers may use Eaziday for commercial or professional purposes, including:

• procurement of business supplies;

• recurring purchasing plans;

• office and workplace supplies;

• professional cleaning and hygiene products;

• future business services made available through the Platform.

Certain consumer protection rights applicable to individual consumers may not apply to business customers where permitted by law.

Business customers are responsible for ensuring that purchases are made by authorised representatives.

9. Suppliers and Business Partners

Eaziday may collaborate with manufacturers, distributors, importers, wholesalers, charities and other commercial partners.

Each supplier or partner is responsible for:

• complying with applicable laws;

• providing accurate product or service information;

• maintaining all licences and authorisations required by law;

• complying with contractual obligations agreed with APPIRICH S.R.L.

Separate commercial agreements may apply to suppliers and partners.

10. Service Providers

Certain services offered through the Platform may be performed by independent service providers.

These may include, without limitation:

• cleaning services;

• automotive services;

• maintenance services;

• installation services;

• other services introduced in the future.

Service providers are independent contractors unless otherwise expressly stated.

Eaziday may verify, approve or remove service providers in accordance with its internal standards and applicable law.

11. User Responsibilities

All users of the Platform agree to:

• comply with these Terms and all applicable policies;

• provide accurate information;

• maintain the confidentiality of their account credentials;

• use the Platform responsibly and lawfully;

• promptly notify Eaziday of any unauthorised use of their account;

• refrain from any activity that could damage, disrupt or compromise the Platform or the rights of other users.

Users remain responsible for all activities carried out through their accounts unless otherwise provided by law.

12. Suspension or Restriction of Access

Eaziday reserves the right to suspend, restrict or terminate access to the Platform where reasonably necessary, including where:

• these Terms are breached;

• fraudulent or unlawful activity is suspected;

• false or misleading information has been provided;

• the security or integrity of the Platform is at risk;

• required by law or by a competent authority.

Where appropriate, Eaziday will inform the affected user of the reasons for the restriction or suspension, unless prohibited by law or where doing so would compromise fraud prevention or security measures.

13. Creating an Account

To access certain features of the Eaziday Platform, including placing orders, creating recurring plans, tracking deliveries, managing subscriptions, participating in loyalty programmes, or accessing business services, you may be required to create an account.

When creating an account, you agree to:

• provide accurate, complete, and up-to-date information;

• maintain and promptly update your account information when necessary;

• use your real identity or the identity of the business you are authorised to represent;

• create only one personal account unless otherwise authorised by Eaziday.

Eaziday reserves the right to refuse account registration where the information provided is incomplete, inaccurate, misleading, or where registration would violate these Terms or applicable law.

14. Business Accounts

Business customers may register a business account using their company's legal information.

Business accounts may provide access to additional features, including:

• recurring procurement plans;

• business pricing and quotations;

• invoice-based purchases (where available);

• multiple delivery addresses;

• account management for authorised employees;

• other business solutions introduced by Eaziday.

The registered business remains responsible for all activities carried out through its account and by its authorised representatives.

15. Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your username and password.

You agree to:

• keep your login credentials secure and confidential;

• use a strong password;

• immediately notify Eaziday if you suspect unauthorised access to your account;

• log out when using shared or public devices.

Eaziday will never request your password by email, telephone, or any other unsolicited communication.

You remain responsible for all activities conducted through your account unless you have notified Eaziday of unauthorised use without undue delay.

16. Verification of Information

To protect the integrity of the Platform and comply with applicable laws, Eaziday may request verification of the information provided during registration or while using the Platform.

Verification may include, where appropriate:

• confirmation of your email address;

• verification of your telephone number;

• confirmation of your identity;

• verification of business registration details;

• validation of VAT or tax identification numbers;

• any other reasonable verification required to prevent fraud or comply with legal obligations.

Failure to provide requested information may result in restricted access to certain services.

17. Updating Your Account

You are responsible for ensuring that your account information remains accurate and current.

This includes, where applicable:

• name;

• contact information;

• delivery addresses;

• billing details;

• business information;

• authorised users.

Eaziday is not responsible for delays, failed deliveries, or other issues resulting from inaccurate or outdated account information.

18. Suspension or Closure of Accounts

Eaziday may suspend, restrict, or permanently close an account where it reasonably believes that:

• these Terms have been violated;

• fraudulent, abusive, or unlawful activity has occurred;

• false or misleading information has been provided;

• the security of the Platform or other users is at risk;

• required by law or by a competent authority.

Where appropriate, Eaziday will inform the affected user of the reasons for the suspension or closure unless prohibited by law or where doing so would compromise security or fraud prevention measures.

Users may also request the closure of their account at any time by contacting Eaziday or using the account settings where available.

The closure of an account does not affect:

• outstanding payment obligations;

• completed orders;

• legal rights and obligations that survive account termination;

• data retention obligations required by applicable law.

19. Account Ownership

Each account is personal to the registered individual or the registered business.

Accounts may not be:

• sold;

• transferred;

• assigned;

• shared with unauthorised persons;

• used on behalf of another person without proper authority.

Business accounts may authorise employees or representatives to access the account, provided such access is managed by the business.

20. Account Communications

By creating an account, you acknowledge that Eaziday may send communications necessary for the operation of your account, including:

• order confirmations;

• invoices and receipts;

• delivery notifications;

• recurring plan reminders;

• account security alerts;

• important service announcements;

• updates relating to these Terms or other policies.

These operational communications form part of the services provided by Eaziday and are distinct from marketing communications. They may be sent even if you have opted out of receiving promotional messages, where permitted by applicable law.

21. Products and Services

Eaziday offers a digital platform through which customers may purchase products, access services, create recurring plans, and benefit from additional solutions designed to simplify the management of everyday essentials.

The products and services available on the Platform may include, but are not limited to:

• Baby and family products;

• Personal care products;

• Home care and cleaning products;

• Household essentials;

• Professional and business supplies;

• Automotive products and accessories;

• Cleaning services;

• Automotive services;

• Procurement solutions for businesses;

• Community initiatives and charitable programmes;

• Any additional products or services introduced by Eaziday from time to time.

The availability of products and services may vary depending on location, stock levels, supplier availability and operational capacity.

22. Product Information

Eaziday makes every reasonable effort to ensure that all product descriptions, specifications, images, prices and other information displayed on the Platform are accurate and up to date.

However:

• Product images are provided for illustrative purposes and may differ slightly from the actual product.

• Colours, packaging, branding and product appearance may vary depending on the manufacturer or supplier.

• Product specifications may change without prior notice due to manufacturer updates.

• Typographical errors, omissions or inaccuracies may occasionally occur.

Eaziday reserves the right to correct errors or update product information at any time without prior notice.

23. Product Availability

All products and services displayed on the Platform are subject to availability.

Adding a product to your shopping cart or recurring plan does not reserve that product or guarantee its availability.

If a product becomes unavailable after an order has been placed, Eaziday may:

• contact you with an alternative solution;

• replace the product with a comparable item where permitted and agreed;

• partially fulfil the order;

• cancel the unavailable item and refund any payment received for that item.

24. Pricing

All prices displayed on the Platform are shown in the applicable local currency unless otherwise stated.

Prices may include or exclude applicable taxes depending on the type of customer and the legal requirements in force.

Where applicable, prices will indicate whether Value Added Tax (VAT) is included.

Eaziday reserves the right to modify prices at any time.

Price changes shall not affect orders that have already been confirmed unless:

• required by law;

• an obvious pricing error has occurred;

• the customer expressly agrees to the revised price.

25. Promotions, Discounts and Credits

From time to time, Eaziday may offer:

• promotional campaigns;

• discount codes;

• loyalty rewards;

• referral bonuses;

• account credits;

• vouchers;

• free delivery offers;

• limited-time promotions;

• business incentives.

Unless otherwise stated:

• promotions cannot be combined;

• promotions have no cash value;

• promotions are subject to availability;

• promotions may be modified or withdrawn at any time;

• promotions are governed by their specific terms.

Where account credits are issued, they may only be used in accordance with the applicable promotional conditions.

26. Private Label Products

Eaziday may offer products manufactured or sourced under its own brands, including future private-label brands owned or distributed by APPIRICH S.R.L.

These products are subject to the same legal warranties and consumer protection rights as other products sold through the Platform.

Packaging, branding and product specifications may be updated periodically to improve quality or comply with legal requirements.

27. Third-Party Products

The Platform may also include products supplied by third-party manufacturers, distributors or suppliers.

While Eaziday carefully selects its suppliers, the manufacturer remains responsible for:

• product composition;

• safety information;

• mandatory product labelling;

• regulatory compliance;

• product recalls where applicable.

Nothing in these Terms limits any mandatory rights that consumers may have under applicable law.

28. Product Reviews and Ratings

Customers may be invited to leave reviews and ratings relating to products or services purchased through the Platform.

By submitting a review, you confirm that:

• it reflects your genuine experience;

• it is accurate to the best of your knowledge;

• it does not contain unlawful, offensive, defamatory or misleading content;

• it does not infringe the rights of any third party.

Eaziday reserves the right to moderate, refuse or remove reviews that violate these Terms or applicable law.

29. Future Services

Eaziday continuously develops new solutions to improve the customer experience.

Future services may include, without limitation:

• smart household management;

• automated procurement;

• subscription services;

• AI-powered planning tools;

• home services;

• automotive services;

• marketplace solutions;

• additional digital services.

The introduction of new services does not automatically create an obligation for Eaziday to continue providing them indefinitely.

Additional terms may apply to specific services where appropriate.

30. Product Safety and Responsible Use

Customers are responsible for using products in accordance with:

• the manufacturer's instructions;

• applicable safety warnings;

• product labels;

• relevant laws and regulations.

Eaziday shall not be liable for damage resulting from misuse, improper storage, modification or use of products contrary to the manufacturer's instructions or applicable law.

31. Placing an Order

Customers may place orders through the Eaziday Platform by selecting the desired products or services and completing the checkout process.

Before submitting an order, customers are responsible for reviewing:

• selected products or services;

• quantities;

• prices;

• delivery address;

• billing information;

• payment method;

• any applicable promotions or discounts.

Submitting an order constitutes an offer by the customer to purchase the selected products or services under these Terms and Conditions.

32. Order Confirmation

After an order is submitted, Eaziday will send an acknowledgement confirming receipt of the order.

This acknowledgement does not constitute acceptance of the order.

A legally binding contract is formed only when:

• payment has been successfully authorised where applicable;

• product availability has been confirmed;

• Eaziday issues an order confirmation or dispatch confirmation.

Eaziday reserves the right to refuse or cancel an order before acceptance in accordance with these Terms and applicable law.

33. Pricing and Payment

Customers agree to pay the total amount displayed at checkout, including:

• product prices;

• applicable taxes;

• delivery charges;

• service fees (where applicable);

• any other charges clearly disclosed before completing the order.

Payments may be made using the payment methods available on the Platform, including but not limited to:

• debit cards;

• credit cards;

• digital wallets;

• bank transfer (where available);

• business invoicing (where approved);

• other payment methods introduced by Eaziday.

All payments are processed through secure and authorised payment providers.

Eaziday does not store customers' complete payment card details.

34. Pricing Errors

Although Eaziday makes every effort to ensure pricing accuracy, errors may occasionally occur.

If an obvious pricing error is identified before an order has been accepted, Eaziday may:

• contact the customer with the correct price;

• allow the customer to reconfirm the order;

• cancel the order and refund any payment received.

Eaziday shall not be obliged to supply products at an incorrect price where the pricing error was obvious or could reasonably have been recognised.

35. Order Cancellation

Customers may cancel an order before it has entered the preparation or dispatch process.

Once preparation or dispatch has commenced, cancellation may no longer be possible.

Consumer rights relating to withdrawal and returns remain governed by applicable Romanian and European consumer protection legislation.

36. Cancellation by Eaziday

Eaziday reserves the right to cancel or refuse any order where reasonably necessary, including where:

• products are unavailable;

• payment cannot be authorised;

• fraudulent activity is suspected;

• incorrect pricing or product information has been displayed;

• legal or regulatory requirements prevent fulfilment;

• force majeure or operational circumstances make fulfilment impossible.

Where payment has already been received, any applicable refund will be processed in accordance with these Terms.

37. Invoices

Invoices will be issued in accordance with Romanian fiscal legislation.

Electronic invoices may be sent to the customer's registered email address and, where available, made accessible through the customer's account.

Business customers are responsible for providing accurate invoicing details, including:

• company name;

• tax identification number (where applicable);

• billing address.

Eaziday shall not be responsible for delays or inaccuracies resulting from incorrect invoicing information provided by the customer.

38. Promotions, Credits and Gift Vouchers

Promotional credits, vouchers, coupons and gift cards may be offered by Eaziday from time to time.

Unless expressly stated otherwise:

• they are non-transferable;

• they have no cash value;

• they cannot be exchanged for cash;

• they may have expiry dates;

• they may be subject to additional promotional terms.

Eaziday reserves the right to cancel promotional benefits obtained through fraud, abuse or misuse.

39. Taxes

Customers are responsible for paying all taxes applicable to their purchases under Romanian and European legislation.

For business customers purchasing under valid VAT rules, invoices shall be issued in accordance with the applicable tax legislation.

40. Fraud Prevention

To protect customers and the Platform, Eaziday may implement fraud prevention measures, including:

• payment verification;

• identity verification;

• address verification;

• order review;

• transaction monitoring;

• temporary order holds where suspicious activity is detected.

Where necessary, Eaziday may request additional documentation before processing an order.

Failure to provide requested information may result in the cancellation of the order.

41. Business Orders

Business customers may benefit from additional purchasing options, including:

• recurring procurement plans;

• quotation requests;

• negotiated pricing;

• volume discounts;

• invoice-based purchasing (subject to approval);

• dedicated account management where available.

Additional commercial agreements may apply to business customers.

42. No Minimum Purchase Requirement

Unless expressly stated in a specific promotion or commercial agreement, Eaziday does not require customers to meet a minimum order value to place an order.

Certain promotional offers, free delivery campaigns, business pricing or other benefits may require minimum purchase thresholds, which will be clearly communicated before the order is confirmed.
